1. Agreement to Terms

These Terms of Use constitute a legally binding agreement made between you and Landed AI Inc. ("we," "us," or "our"), concerning your access to and use of our mobile application and website (collectively, the "Service"). You agree that by accessing the Service, you have read, understood, and agree to be bound by all of these Terms of Use. If you do not agree with all of these terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Intellectual Property Rights

Unless otherwise indicated, the Service is our proprietary property and all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Service and the trademarks, service marks, and logos contained therein are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws.

The Service content and materials are provided for your personal, non-commercial use only. You may not copy, reproduce, distribute, transmit, broadcast, display, sell, license, or otherwise exploit any content on the Service for any other purposes without the prior written consent of the respective owners.

By using the Service, you represent and warrant that:

If you create an account with us, you are responsible for maintaining the security of your account and you are fully responsible for all activities that occur under the account. You must immediately notify us of any unauthorized uses of your account or any other breaches of security. We will not be liable for any acts or omissions by you, including any damages of any kind incurred as a result of such acts or omissions.

5. Prohibited Activities

You may not access or use the Service for any purpose other than that for which we make the Service available. The Service may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. As a user, you agree not to:

• Systematically retrieve data or content from the Service to create a collection, compilation, database, or directory without written permission.
• Trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information.
• Circumvent, disable, or otherwise interfere with security-related features of the Service.
• Use any information obtained from the Service to harass, abuse, or harm another person.
• Make improper use of our support services or submit false reports of abuse or misconduct.

6. User-Generated Content

The Service may allow you to create, post, store, share, send, or display content, including but not limited to text, resumes, job descriptions, career information, and communications (collectively, "User Content"). You are solely responsible for your User Content and represent that you have all necessary rights to submit such content.

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with providing and promoting the Service.

7. Submissions

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback, or other information regarding the Service provided by you to us are non-confidential and shall become our sole property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you.

The Service may contain links to third-party websites and services that are not owned or controlled by Landed AI. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Service Management

We reserve the right, but not the obligation, to: (1) monitor the Service for violations of these Terms of Use; (2) take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms of Use; (3) refuse, restrict access to, limit the availability of, or disable any of your contributions or any portion thereof; (4) remove from the Service or otherwise disable all files and content that are excessive in size or are in any way burdensome to our systems; and (5) otherwise manage the Service in a manner designed to protect our rights and property and to facilitate the proper functioning of the Service.

10. Term and Termination

These Terms of Use shall remain in full force and effect while you use the Service. We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use. Upon termination, your right to use the Service will immediately cease.

11. Modifications and Interruptions

We reserve the right to change, modify, or remove the contents of the Service at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Service without notice at any time. We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

12. Governing Law

These Terms and your use of the Service are governed by and construed in accordance with the laws applicable to agreements made and to be entirely performed within the State of California, without regard to its conflict of law principles.

13. Dispute Resolution

Informal Negotiations

To expedite resolution and control the cost of any dispute, controversy, or claim related to these Terms of Use (each "Dispute" and collectively, the "Disputes") brought by either you or us, the parties agree to first attempt to negotiate any Dispute informally for at least thirty (30) days before initiating arbitration.

Binding Arbitration

If either party is unable to resolve a Dispute through informal negotiations, the Dispute shall be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted through an established alternative dispute resolution provider mutually agreed upon by the parties.

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
